These Terms of Service ("Terms") govern your access to and use of the Vireos platform and website (collectively, the "Service") provided by Vireos, Inc. ("Vireos," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 18 years old and have the authority to bind yourself or your organization to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

Vireos provides an AI-powered marketing platform designed for financial advisors and regulated financial services professionals. The Service includes content generation, compliance workflow management, social media publishing, prospect discovery, email marketing, and analytics tools.

3. Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@vireos.ai if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Generate content that violates FINRA, SEC, or other applicable financial services regulations
  • Attempt to circumvent compliance guardrails built into the platform
  • Share account credentials with unauthorized users
  • Use automated scripts to access the Service without our written consent
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code, viruses, or harmful content
  • Harvest or collect user data from the Service without authorization

5. Content and Intellectual Property

Your Content

You retain ownership of all content you create, upload, or generate using the Service ("Your Content"). You grant Vireos a limited license to process, store, and display Your Content solely to provide the Service.

AI-Generated Content

Content generated by our AI tools is provided as a starting point. You are solely responsible for reviewing, editing, and ensuring compliance of all content before publishing or distributing it. Vireos does not guarantee that AI-generated content is compliant with any specific regulations.

Our Intellectual Property

The Service, including its software, design, features, and documentation, is owned by Vireos and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

6. Compliance Disclaimer

While Vireos provides compliance-focused tools including content guardrails, review workflows, and audit trails, the Service does not constitute legal, regulatory, or compliance advice. You are solely responsible for ensuring your marketing activities comply with all applicable laws and regulations, including but not limited to FINRA Rules 2210 and 2211, SEC Marketing Rule, and state securities regulations.

7. Subscription and Payment

Pricing

Subscription fees are as described on our Pricing page. We reserve the right to change pricing with 30 days' notice to active subscribers.

Billing

Subscriptions are billed monthly or annually based on your selected plan. Payment is due at the beginning of each billing period.

Refunds

We offer a 14-day money-back guarantee for new subscriptions. After 14 days, subscription fees are non-refundable. Annual subscriptions may be prorated upon cancellation.

Free Trial

If offered, free trial terms will be specified at the time of registration. We may require payment information to start a free trial. You will be notified before any charges apply.

8. Data Handling

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service disruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIREOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vireos and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

Either party may terminate the subscription at any time. Upon termination:

  • Your access to the Service will end at the conclusion of the current billing period
  • We will make your data available for export for 30 days
  • After 30 days, your data will be deleted per our data retention policy

We may suspend or terminate your account immediately if you violate these Terms.

13. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

15. Dispute Resolution

Before filing a lawsuit, both parties agree to attempt good-faith negotiation for 30 days. If unresolved, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association.

16. Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce a provision does not constitute a waiver of that provision.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vireos.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
